End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between you (the "User" or "Licensee") and Nebulity, LLC ("Licensor," "we," "us," or "our") for the use of the LATdx software (the "Software"), a VS Code extension designed to optimize Salesforce Apex testing.

By installing or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree with these terms, do not install or use the Software.

1. License Grant

Subject to your compliance with the terms of this Agreement, Nebulity, LLC grants you a non-exclusive, non-transferable, revocable license to:

Install and use the Software solely for your internal use.
Use the Software for the duration of your active subscription.

2. Subscription Terms

Subscription Fee: Access to the Software is granted only after payment of the applicable subscription fee.
Subscription Duration: Your subscription will be valid for the period indicated upon purchase (e.g., monthly or annually). Subscriptions automatically renew unless canceled prior to the renewal date.
Payment: Subscription fees are charged in advance and are non-refundable.
Termination: Your subscription may be terminated by either party with prior notice. Upon termination, your access to the Software will be revoked.

3. Restrictions

You may not:

Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
Rent, lease, sell, sublicense, distribute, or otherwise make the Software available to third parties.
Modify or create derivative works based on the Software.
Use the Software in any manner not expressly permitted by this Agreement.

4. Intellectual Property

Ownership: The Software, including all content, code, and documentation, is the exclusive property of Nebulity, LLC and its licensors. All rights not expressly granted are reserved.
You agree that all modifications, enhancements, or derivative works made to the Software will remain the exclusive property of Nebulity, LLC.

5. Warranty Disclaimer

The Software is provided "AS IS" and without warranty of any kind. Nebulity, LLC makes no warranties regarding the Software, including but not limited to its fitness for a particular purpose, merchantability, or non-infringement.

In no event shall Nebulity, LLC or its licensors be liable for any damages arising out of the use or inability to use the Software, including but not limited to lost profits, data, or business interruption.

6. Limitation of Liability

To the maximum extent permitted by law, Nebulity, LLC's liability under this Agreement shall be limited to the amount paid by you for the Software during the most recent subscription period. Nebulity, LLC shall not be liable for any indirect, incidental, special, or consequential damages, even if advised of the possibility of such damages.

7. Termination

Termination by You: You may terminate this Agreement at any time by discontinuing your use of the Software.
Termination by Us: Nebulity, LLC may terminate this Agreement if you breach any of its terms. Upon termination, you must immediately cease using the Software and uninstall it.

8. Governing Law and Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of [Your Country/State]. Any disputes under this Agreement will be resolved through binding arbitration, and the venue for any arbitration will be [Your Location].

9. Miscellaneous

Entire Agreement: This Agreement constitutes the entire understanding between the parties concerning the Software and supersedes all prior agreements or understandings.
Amendments: Nebulity, LLC may modify this Agreement at any time, and the updated version will be posted on the LATdx website. Your continued use of the Software after such updates will constitute your acceptance of the new terms.
Severability: If any provision of this Agreement is found to be invalid, the remaining provisions will continue in full force and effect.
